This page (together with the documents referred to on it) tells you the terms of use on which you may make use of our website and Learner Management System (LMS) whether as a guest or a registered user. Please read these terms of use carefully before you start to use the site. By using our site, you indicate that you accept these terms of use and that you agree to abide by them. If you do not agree to these terms of use, please refrain from using our site.

Information about us and these terms

This website and LMS is owned and operated by Virtual College Limited (otherwise referred to as ”we”, “our” or ”us”), a company limited by shares that is registered in England and Wales with the company number 03052439 and the registered office address of Marsel House, Stephensons Way, Ilkley, West Yorkshire, LS29 8DD.

These Terms of Use (together with the documents referred to in it) is a legal agreement between You, the End User, and Us. By using the website or LMS You are indicating that You agree to be bound by these Terms of Use. Please note there are sections within these terms which are applicable to you depending on your access level and usage rights. Some sections are specific to Website use and some to LMS use, so please read them very carefully. Using our website or LMS indicates that You accept these terms.

We may amend these Terms of Use at any time and any revised version will be displayed on the site. Please check this page from time to time to take notice of any changes. You will be subject to the terms in force at the time that you access our website or LMS. If you do not accept these terms you must not use our website or LMS.

If any provision within these terms of use is held by any competent authority to be invalid or unenforceable (in whole or in part) the validity of the other provisions of these terms and the remainder of the provision in question shall not be affected.

Access

We reserve the right to remove access to the website and LMS in respect of anyone who does not comply with the terms set out herein.

Content

Unless stated otherwise, the intellectual property rights and copyrights for all material displayed on our website, and contained in the online courses and materials accessed via our LMS, are owned by us or our licensors. You may download and print extracts from our website or from the online courses accessed through our LMS for your own personal, non-commercial purposes. You should not use any extracts for any other purposes. Any rights not expressly granted in these terms and conditions are reserved.

No part of our website or courses may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service without our prior written permission. Any rights not expressly granted in these terms are reserved.

The material on our website is provided on an “as is” basis, without any conditions, warranties or other terms of any kind. To the maximum extent permitted by law, we provide you with this website on the basis that we exclude all representations, warranties, conditions and other terms (including, without limitation, the conditions implied by law of satisfactory quality, fitness for purpose and the use of reasonable care and skill) which but for these terms and conditions might have an effect with respect to our website.

Third Party Websites

Links to third party websites on our website and LMS are provided solely for your convenience. If you use these links, you leave our website. We have not reviewed all of these third party websites and do not control and are not responsible for these websites or their content or availability. We therefore do not endorse or make any representations about them, or any material found there, or any results that may be obtained from using them. If you decide to access any of the third party websites linked to by our website, you do so entirely at your own risk.

Visitor Material and Conduct

Other than personally identifiable information, which is covered under our Privacy Policy, any material you transmit or post to the website shall be considered non-confidential and non-proprietary. We shall have no obligations with respect to such material. We and our designees shall be free to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes.

If and when you make use of features that allow you to upload content to the website or LMS, you warrant that any such contribution complies with all applicable law in any country from which they are posted and that it will not infringe any copyright, database right or trade mark of any other person or company. You will be liable to use and indemnify us for any breach of that warranty.

Subject to any laws and regulations, we also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to the website or LMS constitutes a violation of their intellectual property rights, or of their right to privacy.

We will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of the website or LMS.

We have the right to remove any posting you make on the website or LMS and/or remove your rights of use, and you will not be entitled to a refund if, in our opinion, your post does not comply with these standards.

The views expressed by other Authorised Users on the website or LMS may not represent Virtual College views or values.

You are prohibited from posting or transmitting to or from our website and LMS any material that is threatening, defamatory, obscene, or similar. You must have obtained all necessary licences and/or approvals before submitting any information. We reserve the right to remove any material from the website or LMS that we consider inappropriate or unsuitable.

We shall fully co-operate with any law enforcement authorities or court order requesting or directing us to disclose the identity or locate anyone posting inappropriate material.

Registration

To participate in any courses that we provide, you will need to be registered with us. If you are registering for multiple learners for your organisation, each registration is for a single user only. We do not permit sharing of usernames and passwords with more than one person nor with multiple users on a network. Responsibility for the security of any passwords issued rests with you.

Information you provide to us during your registration will be dealt with in line with our Privacy Policy.

Access to the LMS

In the event that you are accessing the LMS as a Learner, access is granted in one of two ways:

  • If You are a College or Institution Learner or Employee of a Licensor or are accessing the system via a third party site, your provider will need to register for access to the LMS for a specified period of time so that you can access as an Authorised User. Access will be via usernames and passwords which will be administered via your provider.
  • In the event that you are accessing the LMS as a direct Virtual College learner via purchasing from our website, you will be a direct customer of Virtual College and as such your account will be administered directly by Virtual College.

In the event that you are accessing the LMS as an Administrator or Auditor, you or your provider will have registered for access to the LMS for a specified period of time and will have access as an Authorised User. Access will be via usernames and passwords which will be administered by Virtual College or via your provider.

Your Account and Password

You must keep your username, password or any other piece of information used as a part of our security procedures as confidential. You must not disclose it to any third party. We have the right to disable any username or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of this Terms of Use. If You know or suspect that anyone other than you knows your username and password, you must promptly notify us at: learnersupport@virtual-college.co.uk

Acceptable Use

You may use the website or LMS only for lawful purposes. You may not use the website or LMS:

  • in any way that breaches any applicable local, national or international laws or regulations;
  • in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect;
  • for the purpose of harming or attempting to harm others;
  • to transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form or similar solicitation (spam);
  • use any part of the site, equipment or network on which the site is stored, to interfere with, damage or disrupt the site.

You further agree:

  • Not to reproduce, duplicate, copy or re-sell any part of the site in contravention of the provisions of our Terms of Use.
Viruses

We do not guarantee that the website, LMS or content accessed on either will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programmes and platform in order to access the site. You should use your own virus protection software.

Liability

Save to the extent permitted by law, we (and any of our group companies and the officers, directors, employees, shareholders, sub-contractors or agents of any of them) exclude all liability and responsibility (including without limitation in respect of negligence) from any amount or kind of loss or damage arising out of or in connection with your use of our website and LMS.

We do not exclude or attempt to limit in any way our liability:

  • for personal injury or death resulting from our negligence;
  • for any matter for which it would be illegal for us to exclude or to attempt to exclude our liability; or
  • for fraud or fraudulent misrepresentation.
    • Subject to the exclusions/limitations set out above, we shall not be liable to you for any indirect or consequential loss or damage of any nature whatsoever arising and whether caused in tort (including negligence), breach of contract or otherwise (even if foreseeable), any loss of income or revenue, loss of business, loss of profit of contracts, loss of anticipated savings, wasted third party costs, and/or loss of data, management or office time.
